These terms follow the General Terms and Conditions of dcyphr.® GmbH and add Part B, which applies only to dcyphr.® ID. Part A applies to all contracts, Part B to use of the platform, Part C to tickets and attendance at events, Part D to exhibitors, sponsors and partners; Parts E and F apply to all again. For consulting, development and training contracts the rules in the AGB on dcyphr.ai apply in addition.
This English version is a convenience translation. In case of doubt the German version is binding.
(1) These terms apply to all contracts between dcyphr.® GmbH, Hans-Thoma-Straße 40, 69121 Heidelberg (“dcyphr.®”, “we”) and the persons and companies that use dcyphr.® ID or buy tickets through it (“you”), including the conferences held under the AICon brand and the event services of dcyphr.events.
(2) Deviating, conflicting or supplementary terms of the contracting party apply only if we have expressly agreed to them in text form.
(3) A consumer is any natural person who concludes a legal transaction for purposes that predominantly are neither commercial nor self-employed professional (§ 13 BGB). An entrepreneur is a natural or legal person or partnership with legal capacity acting in the exercise of its commercial or self-employed professional activity (§ 14 BGB). Where provisions apply only to entrepreneurs or only to consumers, this is indicated.
(1) Our offers are non-binding unless expressly marked as binding. A contract is concluded by our order confirmation in text form, by confirmation of a ticket order, by signature of both parties or by the start of performance.
(2) For tickets, the presentation in the ticket shop is not a binding offer; by completing the order you make a binding offer, which we accept by the order confirmation with ticket delivery. We store the contract text and send it with the confirmation.
(1) All prices are plus statutory VAT for entrepreneurs and including statutory VAT for consumers. Use of dcyphr.® ID is free of charge unless stated or agreed otherwise; paid services (e.g. tickets, subscriptions, organisation packages) are shown with their price before the contract is concluded.
(2) Unless agreed otherwise, invoices are due within 14 days of the invoice date without deduction. Tickets are payable immediately on order using the payment methods offered.
(3) In case of late payment entrepreneurs owe default interest of 9 percentage points, consumers of 5 percentage points above the base rate (§ 288 BGB), and entrepreneurs also the flat fee of EUR 40 (§ 288(5) BGB). We reserve the right to claim further damages.
(4) Set-off and retention are permitted only with undisputed or legally established counterclaims.
Declarations in connection with the contract (orders, cancellations, terminations, changes, deletion requests) are effective in text form (§ 126b BGB), e.g. by email, unless the law requires a stricter form.
(1) Using the apps requires an account. It is created by registration and confirmation of the email address (or sign-in with Google, where offered). There is no entitlement to access; we may reject or block accounts for objective reasons.
(2) You choose a password of at least 12 characters that you use for no other service, and you can set up a second factor (email or SMS). Credentials are personal and must not be shared; this also applies to invitation and sharing links. If you suspect misuse, change your password and tell us.
(3) Details in the account and profile must be correct. You are responsible for everything that happens through your account, insofar as you are responsible for the misuse.
dcyphr.® ID bundles several apps (e.g. Events, Matchmaking, Academy, Games, prompt tools, Focus, Messages). Which apps are available to you depends on your account, organisation and activation. We keep developing the platform and may change, add or discontinue functions where this is reasonable for you. Individual apps, especially those in trial, may be marked as such; there is no entitlement to specific functions.
What is allowed in detail is set out in the usage guidelines, which form part of these terms.
Nothing changes about the content you post: it stays with you or your employer or client. You grant us the simple right to store, display and process it within the functions (e.g. to publish an event’s programme) as far as necessary to operate the platform. The rights to the software, its design and the brands dcyphr.® and AICon lie with dcyphr.® GmbH or its licensor.
(1) Anyone using the platform as an organiser or organisation (e.g. creating events, inviting teams or attendees) is responsible for their content, invitations and events, including programme, prices, cancellations and compliance with the law. We are not the organiser in that case unless the event page says otherwise.
(2) Data of attendees collected by an organiser or organisation is processed by us on their behalf; the organiser or organisation is responsible under data protection law and ensures lawfulness, in particular towards the invited persons. A template data processing agreement is available.
(3) Example content that the platform creates on request (sample companies, people, programme) is fictional and must be removed or replaced before publication. The organiser is responsible for ensuring that none of it is published as real.
We strive for reliable operation but do not owe any particular availability. Maintenance, hoster outages and further development may cause interruptions. The platform does not replace your own backups; use the export functions for important states.
You can ask for your account to be deleted at any time, informally. We may end use with 14 days’ notice, and immediately in case of significant breaches of these terms or the guidelines. Before deletion we give you the chance to export your content where reasonable. Running contracts for tickets or paid services remain unaffected.
(1) dcyphr.® ID is provided free of charge as a trial until 31.12.2028. No payment obligation arises during this time; no payment data is collected.
(2) You can end use during the trial at any time and without notice — by deleting your account or by an informal message to contact@dcyphr.ai. No costs arise.
(3) We may end the trial — in part or in whole — at any time with two weeks’ notice or convert it into a paid offer, and will announce this by email. In case of significant breaches we may block access without notice.
(4) Liability during the trial. The trial is a free service. Our liability is therefore limited to intent and gross negligence (§ 521 BGB by analogy). Unaffected — and unlimited — remains liability for injury to life, body or health, under the Product Liability Act and when a guarantee is given. A particular availability, scope of functions and retention of your data are not owed during the trial; secure important states via export.
(5) After the trial the account initially remains with reduced scope; content is not deleted automatically. We will point out in good time which options exist then.
We may change these terms where required for legal or technical reasons or because of new functions. We inform you of changes at least 14 days in advance by email to the address stored in the account. If you do not object before they take effect, they are deemed accepted; we point this out separately in the notice.
Part C applies to buying tickets for and attending events that dcyphr.® holds as organiser — in particular the conferences of the AICon brand and events of dcyphr.events. The organiser is dcyphr.® GmbH unless the event page or ticket shop says otherwise. For events of other organisers (B.5) their information and terms apply; Part C applies there only as far as they do not provide otherwise.
(1) Tickets are issued electronically (e.g. with a QR code) and must be shown digitally or printed at check-in. Each ticket entitles one person to enter. Scope and ticket categories are shown on the event page or in the ticket shop.
(2) Tickets can be transferred to another person. Tell us name changes at least 3 working days before the event; on the day of the event, re-registration is possible only subject to availability.
(3) Commercial resale, sale above the printed price and use of tickets for advertising or prize draws without our consent are prohibited; such tickets may be blocked.
(4) Reduced tickets (e.g. students, startups) require proof at check-in. If it is missing, the difference to the regular price must be paid on site.
For contracts for tickets to events on a fixed date or period there is no statutory right of withdrawal under § 312g(2) no. 9 BGB, even if the ticket was bought online or by phone. Every order is therefore binding once concluded. Transfer (C.2) and our cancellation rule (C.4) remain unaffected.
(1) Paid tickets can be cancelled up to 30 days before the event starts for a processing fee of 20% of the ticket price. After that, no refund is possible; please transfer the ticket to a substitute.
(2) Free tickets (e.g. guest or press accreditations, invitations) can be cancelled at any time; please cancel in good time so the place can be reassigned.
(1) The published programme is a preview. We reserve the right to change speakers, talks, times, rooms and formats for objective reasons as long as the overall character of the event is preserved. Changes do not give rise to a right of withdrawal or reduction. Programme items without a time are marked as “to follow”.
(2) If we have to cancel an event, we refund the ticket price paid in full; further claims (e.g. travel and accommodation costs) exist only under Part E. If the date or venue is moved within the same city, the ticket remains valid; you can withdraw within 14 days of notice in text form and receive a refund.
(3) If an event has to be converted to a digital or hybrid format due to force majeure or official order, the ticket remains valid; any price difference is refunded.
(1) At the venue, the operator’s house rules apply in addition to these terms. Instructions of our staff, the security service and the venue must be followed.
(2) Harassment, discrimination, disruption of the programme or endangering others are not tolerated and may lead to removal without a refund of the ticket price.
(3) Carrying weapons, dangerous items and drones, and own sales or promotional activities without permission, are prohibited.
(1) We and third parties commissioned by us make recordings at events and use them for documentation, reporting, media library, advertising future events and social media. Details, especially on your right to object, are in the privacy policy. At check-in you can get a marker on request if you do not want to be recognisably depicted.
(2) Own recordings of talks and performances for commercial purposes require our consent; short recordings for private and social-media purposes are allowed unless speakers expressly exclude this.
Talks, masterclasses and exhibition content reflect the views of the respective speakers and exhibitors; they are not advice from dcyphr.®. Rights to presentation materials lie with the speakers or their companies. Participation in networking functions (matchmaking, attendee views) is voluntary and can be switched off by you at any time; we are not responsible for the content and behaviour of other attendees.
For exhibitors, sponsors and cooperation partners of our events, Part D of the AGB of dcyphr.® GmbH applies in addition (stand allocation, set-up and dismantling, activities requiring approval, brand use, cancellation scale from 25% to 100%, cancellation and postponement, liability and insurance). The scope of services follows from the respective offer or order confirmation. Exhibitors and sponsors who collect attendee data at the stand (e.g. badge scan) are independently responsible for it. Companies listed as exhibitors in dcyphr.® ID ensure that logos and texts may be used freely.
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and when a guarantee is given.
(2) For slightly negligent breach of essential contractual obligations (obligations whose fulfilment is necessary for proper performance of the contract and on which you may regularly rely) our liability is limited to the foreseeable damage typical for the contract. Otherwise liability for slight negligence is excluded.
(3) The limitations of liability also apply in favour of our officers, employees and vicarious agents.
(4) For loss of data we are liable only under paragraphs 1 and 2 and only to the extent the damage would also have occurred with proper and regular backups on your side. For cloakroom, items brought along and vehicles at events we are liable only under paragraphs 1 and 2.
Events of force majeure — in particular natural disasters, pandemics, official orders, strikes, failure of the venue, significant disruption of energy or communication infrastructure, hoster outages, threat of terror or war — release both parties from their obligations for the duration of the disruption. We inform you without delay and strive for replacement dates or alternative formats. The rules in C.5 take precedence.
We process personal data in accordance with our privacy policy. Anyone who enters other people’s data via the platform ensures its lawfulness under data protection law.
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the state of their habitual residence.
(2) If the contracting party is a merchant, a public-law legal entity or special fund under public law, or has no general place of jurisdiction in Germany, the exclusive place of jurisdiction for all disputes under the contract is Heidelberg. We may also sue at the contracting party’s general place of jurisdiction.
(3) dcyphr.® GmbH is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
(4) Amendments and additions to the contract require text form; this also applies to waiving this text-form requirement. Individual agreements take precedence.
(5) If a provision is or becomes invalid, the remaining provisions stay valid. Towards entrepreneurs, the statutory rule replaces the invalid provision.
